What are the next steps in assessing the portfolio to be bought or sold to guarantee the best value for the buyer/seller? As in Part I, the process will be discussed from the standpoint of both the seller and the acquirer of the portfolio, and we will discuss both U.S. and European considerations.

Topics to be discussed include:

• Steps that can be taken to resolve issues identified before (or after) the deal closes
• How to manage risks identified during the diligence process
• Trademarks, copyrights, and trade secrets: How do these influence the value determination?
• Reviewing final transaction documents, considering reps and warranties, and closing the deal
