Strategies for IP Due Diligence

The deal closes in week and you need to assess the value of the IP. What next?  How much diligence is due? IP due diligence is often associated with investment or acquisition, but also arises in a variety of other contexts, including product launch, licensing, and even litigation. Regardless of the scenario, inadequate due diligence results in wasted resources—investment in technology that carries a significant risk of infringement, easy design-around, or non-transferable rights. Additionally, due diligence often carries demanding time constraints, business pressures, and budget timelines. Join us as we discuss strategies and best practices for efficient and cost-effective due diligence, as well as identifying and assessing risks.

Topics include:

  1. The Due Diligence Dance
    • Getting ready: How to make your IP more attractive to potential partners
    • Navigating attorney-client privilege and other confidentiality concerns
  2. Freedom to operate (“FTO”)
    • Freedom to use the target company’s technology
  3. Scope/validity/enforceability
    • Does the IP cover the products of interest?
    • Analyzing validity and enforceability of the target’s IP
  4. Ownership/Transferability
    • Clear title starts with inventorship
    • Transferability or Assignability of in-licensed technology
  5. Closing the deal
    • Terms in the final agreement—reps and warranties, escrow, etc.
    • Agreement to assign or assignment on closing
    • Transferring the ownership and the best way to do that taking into account varying requirements in different jurisdictions
