How Much Diligence is Due? Intellectual Property Due Diligence in Mergers, Acquisitions, and Technology Transfers

Can these true stories happen to you? After a multimillion dollar acquisition, a large technology company was shocked to learn that the patents lying at the heart of the deal were virtually worthless. Even worse, a competitor’s blocking patent was discovered, preventing most of the expected value of the acquisition. On the eve of another transaction, both the target company and investors realized the existence of a third party ownership claim in the company’s intellectual property. Tens of millions of dollars needed to be paid to release the claim.

In both instances the parties performed due diligence in advance. They just didn’t ask all the right questions in time.

In this meeting, IP due diligence counsel from GKH and Finnegan will address:

  • Patents in due diligence: Assessing freedom to operate, patent validity, enforceability, and strength
  • Clearing IP ownership and transferability risks
  • IP with “strings attached” and how to untangle the strings: Office of Chief Scientist and consortium agreements in the due diligence context
  • License agreements: The extent to which they should be considered in a due diligence inquiry
  • “Soft” IP: The extent to which trademarks, copyrights, and trade secrets should be assessed
  • Open source issues in due diligence inquiries
  • How to assess risks uncovered during due diligence, and how to convey those risks to management
