In fast-moving, high-pressure mergers, acquisitions, partnering, and investment transactions, obtaining an accurate and comprehensive intellectual property evaluation is critical. The possible outcome of pending or potential litigation, the assignability of a company’s IP agreements, and the scope and ownership of IP rights are just some of the issues to consider. 

Our deep understanding of varied technologies and mastery of IP law allow us to help companies react quickly to any issue that emerges during an IP transaction, to provide thoughtful and accurate answers to investors’ questions, and to craft contract terms that properly allocate risks. We deliver highly targeted and sophisticated analyses of the IP assets at issue that can help drive an equitable deal.

We have conducted successful due diligence on matters as complex as the Exxon–Mobil merger, and as focused as an analysis of in-license agreements of an innovative biotech start-up that was being considered for later-round funding. Our size, technical background, and experience allow us to assemble and mobilize a well matched team that quickly identifies key issues, proposes options for mitigating risks, and outlines a strategy for strengthening our client’s bargaining position. Ideally, due diligence investigations are conducted at the onset of negotiations, allowing time for a reasoned analysis of the value of the IP portfolio and time for corrective action to address issues that may influence the deal.

Finnegan helps Intellia Therapeutics acquire Rewrite Therapeutics, Inc. for $45 million
Assessed IP issues as part of due diligence efforts in $45 million acquisition deal focused on DNA writing via CRISPR.
Helped a global chemical company conduct due diligence when acquiring intellectual property rights in nanotechnology

Oversaw due diligence for one of the world’s largest chemical companies during the acquisition of another company, including overseeing the mapping and analysis of the target’s patent portfolio and analyzing potential infringement by competitors.

Working with innovators in surveillance and home monitoring technologies
Finnegan works with clients developing surveillance and home monitoring technologies, where images and videos are captured and transmitted for real-time viewing and monitoring anywhere there is Internet access. We help these clients build portfolios around all technology areas in surveillance, defend against infringement accusations, and perform risk analysis before products are launched in the market.
Protecting business-method patents for a travel-related company
We represented a major travel-related company in securing worldwide patent protection on a diverse portfolio of software and business-method–related inventions. We advised and defended the client on various allegations of patent infringement and third-party claims for indemnification against infringement allegations. We also assisted in establishing company patent and other IP policies, conducting due diligence and patent clearance investigations, and managing the entire IP portfolio.
Finnegan helps Rambus acquire Cryptography Research Inc. for $350 million
In the fields of memory technology, cryptography, and other new ventures, we help Rambus obtain patent rights from patent offices worldwide and have taken significant roles in assessing intellectual property issues as part of acquisition due diligence efforts and other strategic counseling projects. For example, in connection with Rambus’ acquisition of Cryptography Research, Inc. (CRI), Finnegan conducted an extensive IP due diligence. The deal was valued at over $350 million and involved the acquisition of the CRI and its IP assets focused on cryptographic technologies, such as protective measures against differential power analysis and other ways of protecting encrypted systems.

Our service includes preparing patent applications directed to novel methods and systems for storing, protecting, and managing information with a particular focus on records management and data protection and recovery.
